The agreement that governs use of backuplogistics.us and the dispatch, brokerage and freight coordination services provided by Backup Logistics LLC.

1. Acceptance of Terms

By accessing or using the website located at backuplogistics.us (the "Site") or any services provided by Backup Logistics LLC ("Company," "we," "us," or "our"), you agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

These Terms apply to all visitors, clients, carriers, brokers, drivers, shippers, and any other parties who access or use our website or services.

2. Company Overview

Backup Logistics LLC is a licensed freight brokerage and dispatch company headquartered in Houston, Texas, with a second office in Ewing Township, New Jersey. We hold FMCSA operating authority MC-1514148 (USDOT 4017068). We provide freight coordination, carrier dispatch, and transportation brokerage services to clients and carriers across the United States.

Freight tendered through us is transported by independent motor carriers who hold their own operating authority, their own insurance and their own DOT compliance obligations, as set out in section 6. Our role is to arrange and coordinate that transportation. Section 11 limits our liability accordingly.

Our website at backuplogistics.us serves as our primary online presence for information, contact, and business onboarding purposes.

3. Services Provided

Backup Logistics LLC offers the following services:

  • Freight brokerage and load matching between shippers and carriers
  • Carrier dispatching and fleet coordination
  • Load booking, scheduling, and rate confirmation
  • Pickup and delivery coordination and tracking updates
  • Carrier onboarding and compliance management
  • Communication and administrative support for freight operations

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

4. Eligibility

By using our Site or services, you represent that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and are using our services for lawful business purposes only.

5. Use of the Website

You agree to use this Site only for lawful purposes. You must not:

  • Use the Site for any fraudulent, unlawful, or deceptive purpose
  • Transmit harmful, offensive, or disruptive content
  • Attempt unauthorized access to any part of our systems or data
  • Reproduce, duplicate, copy, or resell any part of the Site without written permission
  • Use automated tools, bots, or scrapers to collect data from the Site
  • Interfere with or disrupt the security or functionality of the Site

We reserve the right to suspend or terminate access to our Site for any user who violates these conditions.

6. Carrier Responsibilities

Carriers who work with Backup Logistics LLC agree to the following:

  • Maintain all required operating authorities, licenses, permits, and insurance as required by federal and state law (including FMCSA regulations)
  • Adhere to agreed-upon pickup and delivery schedules as stated in rate confirmations
  • Communicate promptly about any delays, accidents, or issues affecting shipments
  • Ensure proper handling and care of all freight during transit
  • Comply with all applicable DOT, FMCSA, and safety regulations
  • Not broker or re-broker loads without prior written consent from Backup Logistics LLC

7. No Forced Dispatch

We do not force dispatch. Every load we bring you is an offer, not an instruction, and you decide whether to take it.

  • You may decline any load, for any reason, and you do not have to explain the reason
  • Declining a load does not affect your standing with us, the loads we bring you next, or anything else about working with us
  • We will not book a load in your name, or commit you to a broker, without your agreement to that specific load at that specific rate
  • You choose your lanes, your home time, and the rates you are willing to run for

You are an independent motor carrier and not our employee. Our fee is a percentage of what you earn, so a load you do not want to run is a load neither of us should be running.

8. Shipper / Client Responsibilities

Clients and shippers using our services agree to:

  • Provide accurate, complete, and timely information regarding freight, dimensions, weight, and special handling requirements
  • Ensure all cargo is properly packaged, labeled, and ready for pickup at the agreed time
  • Fulfill payment obligations as stated in rate confirmations or service agreements
  • Notify us promptly of any changes, cancellations, or additions to shipment requirements
  • Not hold Backup Logistics LLC responsible for delays caused by inaccurate freight information

9. Rates, Payment, and Billing

All charges and rates are outlined in individual rate confirmations or written service agreements. By accepting a rate confirmation, you agree to the stated payment terms.

  • Payment is due as specified in the rate confirmation or invoice
  • Late payments may result in service suspension, additional fees, or referral to collections
  • Backup Logistics LLC reserves the right to adjust rates due to fuel surcharges, tolls, or market conditions with reasonable notice

Disputed charges must be raised in writing within 5 business days of invoice receipt

10. Cancellations and No-Show Policy

If a shipper or client cancels a booked load or fails to have freight ready at the agreed time, they may be subject to cancellation fees or liability for carrier deadhead costs, as outlined in the applicable rate confirmation.

Backup Logistics LLC reserves the right to recover reasonable costs resulting from last-minute cancellations or no-shows.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Backup Logistics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss or damage to freight beyond the coverage limits in the applicable rate confirmation or carrier agreement
  • Delays caused by weather, road conditions, accidents, or other circumstances beyond our control
  • Third-party actions, including carrier negligence or misconduct
  • Interruptions in service due to technical, operational, or force majeure events

Our total liability in connection with any single claim shall not exceed the lesser of the actual damages incurred or the total amount paid to Backup Logistics LLC for the specific service giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Backup Logistics LLC, its members, officers, employees, agents, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms
  • Your use or misuse of our services or website
  • Your negligence, misconduct, or violation of applicable laws or regulations
  • Any third-party claims arising from freight you tendered to us

13. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, icons, images, and branding, is the exclusive property of Backup Logistics LLC and is protected under applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, display, or use any content from this Site without our express prior written consent.

14. Privacy Policy

Your use of our Site and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our services, you consent to the collection, use, and handling of your personal information as described in our Privacy Policy.

15. SMS and Text Message Communications

You receive text messages from Backup Logistics LLC only if you have opted in, by ticking the SMS consent box on one of our forms or on our SMS consent form. Giving us your mobile number is not by itself consent to text you and we do not treat it as such. These messages are strictly for dispatch coordination and business communications - not marketing.

No mobile opt-in or text message consent will be shared with third parties or affiliates.

The messages we send are conversational dispatch coordination and informational operational alerts: load offers, pickup and delivery updates, rate confirmations, paperwork reminders and settlement notices. We do not send marketing or promotional text messages.

Message frequency varies, and depends on how much freight you are running with us. Message and data rates may apply; those rates are set by your wireless carrier, not by us. Wireless carriers are not liable for delayed or undelivered messages.

Reply STOP to opt out at any time and you will receive one final confirmation. Reply HELP for support, or contact us at hr@backuplogistics.us or 609-609-3148. Consent to receive text messages is not a condition of purchase or of using our services.

Our Site may contain links to third-party websites for convenience. Backup Logistics LLC does not control, endorse, or accept responsibility for the content, privacy practices, or services of any third-party websites. Your use of third-party sites is at your own risk.

17. Disclaimer of Warranties

This Site and our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising under or related to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas. Both parties agree to attempt good-faith negotiation before initiating any legal proceedings.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

20. Entire Agreement

These Terms, together with our Privacy Policy, SMS Terms of Service and SMS consent form, constitute the entire agreement between you and Backup Logistics LLC with respect to your use of our Site and services, and supersede all prior understandings or agreements.

21. Changes to These Terms

Backup Logistics LLC reserves the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of our Site or services following any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
